Welcome to New Bitcoin (“New Bitcoin,” “we,” “us,” or “our”). By accessing or using our website, mobile application, and related services (collectively, the “Services”), you agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully, as they affect your legal rights.
If you do not agree to these Terms, please discontinue using our Services. By creating an account, accessing, or using any part of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and any additional guidelines referenced herein, including our Privacy Policy. You represent and warrant that you are at least the age of majority in your jurisdiction (usually 18 or older) and capable of entering into a legally binding agreement, and that you will use the Services for lawful purposes and in accordance with these Terms.
New Bitcoin offers a platform where users can earn “New Bitcoin” tokens (“Tokens”) by driving. The Service tracks miles driven via GPS or other location-based technologies and awards Tokens accordingly. We may offer additional incentives or bonuses based on safe driving metrics or accident-free records at our sole discretion and subject to change. Users can redeem Tokens for discounts, coupons, or offers at participating businesses (“Vendors”), and the details, validity, and scope of these offers will vary by Vendor. We may also offer referral bonuses or incentives for sharing New Bitcoin with others, subject to additional rules and limitations. Businesses can register as Vendors to offer discounts to users in exchange for Tokens, gaining access to a portal where they can create, manage, and monitor promotional campaigns.
You may be required to register an account by providing a valid email address, phone number, and social media login. You agree to provide accurate and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Unless authorized by us in writing, you may only create and use one account; we reserve the right to suspend or terminate duplicate or fraudulent accounts.
Subject to your compliance with these Terms, New Bitcoin grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes. All rights not expressly granted are reserved by New Bitcoin. You agree not to use the Services for any unlawful purpose or in violation of any local, state, national, or international law; not to reverse engineer, modify, distribute, or create derivative works based on any part of the Services; not to interfere with or disrupt the Services; and not to harvest personal information of other users without their consent. You may submit or post content such as accident-free proof or feedback to the Services, and by doing so, you represent and warrant that this content is accurate, lawful, does not infringe on any third-party rights, and you grant New Bitcoin a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, display, and create derivative works of that content in connection with the Services.
The number of Tokens you earn is determined by your mileage data, driving behavior, and other incentives; we reserve the right to modify the formula or method by which Tokens are earned at any time. Tokens can be redeemed for discounts, coupons, or offers at participating Vendors, and the value, conversion rate, and availability of redemption options are subject to change. We may set or modify the expiration date of Tokens, and if Tokens expire, you may no longer be able to use them. We may also adjust Token values or redemption rates as necessary. Tokens do not hold any intrinsic cash value and are not legal tender, digital currency, or securities; they are non-transferable except within our platform and remain subject to these Terms.
Any discounts or offers from Vendors are subject to the Vendors’ own terms and conditions, which may differ from ours. New Bitcoin is not liable for any disputes regarding the quality, pricing, or fulfillment of Vendor products or services, and you acknowledge that you access and use Vendor offers at your own risk. All content, logos, trademarks, and other materials available through the Services are owned by or licensed to New Bitcoin and are protected by intellectual property laws. You agree not to use these materials without our prior written consent. You may submit suggestions or feedback to improve our Services, and by doing so, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate your suggestions without restriction or compensation to you.
Your use of the Services is at your sole risk. The Services are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express or implied. We do not guarantee the accuracy of mileage tracking, the continued availability of any Vendor offers, or the successful redemption of Tokens. We are not responsible for any third-party content or services accessible through the Services; any such content or services are subject to their own terms and conditions.
To the maximum extent permitted by law, New Bitcoin and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising out of or related to your use of the Services. In no event shall New Bitcoin’s total liability for all claims exceed the greater of the amount you paid (if any) to use the Services, or one hundred U.S. dollars (USD 100). You acknowledge and accept that using blockchain or token-based technologies carries inherent risks, including the possibility of technical failures, market volatility, and regulatory changes. You assume full responsibility for these risks.
You agree to defend, indemnify, and hold harmless New Bitcoin and its affiliates from and against any claims, actions, suits, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to your breach of these Terms, your misuse of the Services, or your violation of any law or regulation. You may stop using the Services at any time and request account deletion by contacting us; we reserve the right to suspend or terminate your access to the Services at any time for any reason, including any violation of these Terms. Upon termination, all licenses and rights granted to you under these Terms will immediately cease, and any Tokens in your account at the time of termination may be forfeited at our sole discretion.
These Terms and any dispute arising out of or in connection with them are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any dispute, claim, or controversy shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Delaware. You agree that any arbitration or proceeding shall be conducted on an individual basis, and you will not seek to have any dispute heard as a class action, consolidated action, or representative action.
We may update these Terms at our sole discretion to reflect changes in our Services or for other operational, legal, or regulatory reasons. If we make material changes, we will provide notice (e.g., via email or a notice on our website). Your continued use of the Services after any such update constitutes your acceptance of the revised Terms. These Terms, together with our Privacy Policy, constitute the entire agreement between you and New Bitcoin regarding the Services and supersede all prior or contemporaneous agreements. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of any remaining provisions. No waiver of any term or condition shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and any failure to enforce a right does not constitute a waiver of future enforcement of that right. You may not assign or transfer these Terms or any rights or obligations herein without our prior written consent; we may freely assign or transfer these Terms without restriction.
